Acceptance of Terms
By accessing or using the ScriptLix platform, including any associated websites, applications, and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms in their entirety, you must not access or use the platform.
You represent and warrant that you are at least eighteen (18) years of age. If you are under the age of eighteen, you are not permitted to create an account or use any features of ScriptLix. By creating an account, you affirm that you meet this age requirement. ScriptLix relies on self-attestation for age verification and reserves the right to request additional proof of age at any time.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ScriptLix and supersede all prior negotiations, understandings, and agreements, whether written or oral. Your continued use of the platform following the posting of any changes to these Terms signifies your acceptance of those changes.
Description of Service
ScriptLix is an online platform that publishes and licenses professional screenplays to readers, producers, and entertainment professionals. The platform enables users to browse, preview, and purchase screenplays under various license tiers, each granting distinct usage rights as described in these Terms.
The platform provides features including but not limited to screenplay browsing and discovery, online reading functionality, secure digital transactions, and license management. ScriptLix operates as a digital publishing platform and does not itself author or guarantee the commercial viability of any screenplay listed on the platform.
ScriptLix provides services on a best-effort basis with no uptime guarantee. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice, including the availability of any feature, database, or content. We may also impose limits on certain features or restrict your access to parts or all of the service without notice or liability.
User Accounts
To access certain features of ScriptLix, you must create an account by providing accurate, current, and complete information during the registration process. You agree to update your account information promptly to keep it accurate and complete at all times.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You are responsible for all activity that occurs under your account, regardless of whether such activity was authorized by you. You agree to notify ScriptLix immediately of any unauthorized use of your account or any other breach of security.
Each individual is permitted to maintain only one account on the platform. Creating multiple accounts to circumvent restrictions, abuse promotional offers, or for any other deceptive purpose is strictly prohibited and may result in the termination of all associated accounts without refund.
ScriptLix reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice. We will provide notice when practicable but reserve the right to act immediately for severe violations including fraud, account sharing, or intellectual property infringement.
License Tiers and Usage Rights
Reader Access grants you a personal, non-commercial, non-transferable right to read the purchased screenplay through the ScriptLix online reader. This license is strictly for individual, private use. You may not download, copy, print, reproduce, distribute, or create derivative works based on the screenplay under a Reader Access license.
A Production License grants you a non-exclusive, non-transferable right to use the purchased screenplay for audiovisual production purposes. This license includes the ability to download the screenplay as a PDF for production use. Because this license is non-exclusive, other buyers may independently purchase a Production License for the same screenplay. You may adapt the screenplay as reasonably necessary for production, but you may not sublicense, resell, or redistribute the screenplay itself in written form. Buyer must include original author credit in all audiovisual productions derived from the screenplay. Attribution cannot be removed or altered without prior written consent from ScriptLix.
An Exclusive Rights purchase constitutes a full transfer of commercial rights to the screenplay. Upon completion of an Exclusive Rights transaction, the screenplay will be permanently removed from the ScriptLix catalog and will no longer be available for purchase by other users. The original author retains the right to attribution and credit as the original writer. All other commercial rights, including the right to produce, adapt, distribute, and sublicense, transfer to the purchaser.
All license tiers are subject to the intellectual property provisions set forth in these Terms. Any use of a screenplay outside the scope of your purchased license tier constitutes a material breach of these Terms and may result in account termination, revocation of access, and legal action.
Upgrading from one license tier to a higher tier for the same screenplay is permitted, subject to availability. The upgrade price will reflect the difference between your original purchase price and the current price of the higher-tier license.
Purchases and Payments
All transactions on ScriptLix are processed through Stripe, which acts as our payment processor. By completing a purchase, you agree to the payment terms and conditions of both ScriptLix and Stripe. ScriptLix is not liable for payment processing errors, fraud detection, payment method declines, or any other matter that is the exclusive responsibility of our payment processor.
All prices on the platform are listed in United States Dollars (USD). Applicable taxes, including sales tax, value-added tax, or other government-imposed charges, will be calculated and displayed at checkout based on your billing address and applicable tax regulations. You are responsible for all taxes associated with your purchases.
Payment must be completed in full before access to a purchased screenplay or license is granted. ScriptLix does not offer credit terms, installment plans, or deferred payment arrangements unless explicitly stated otherwise.
Promotional codes and discounts are non-refundable, cannot be combined with other offers unless explicitly stated, and are subject to expiration dates and usage limits as specified at the time of issuance.
Content Disclaimers and Accuracy
ScriptLix maintains a curated collection of professional screenplays. While we conduct editorial review before publication, ScriptLix makes no warranty or representation that any screenplay is original, non-infringing, production-ready, technically correct, or suitable for any particular purpose. Editorial review is not a guarantee of quality, originality, or legal clearance.
Buyers assume all risk regarding screenplay quality and suitability for production. ScriptLix strongly recommends that buyers conduct their own independent due diligence, including legal review, before making licensing decisions, particularly for Production License and Exclusive Rights transactions.
ScriptLix may contain links to third-party websites, services, or resources. These links are provided for convenience only. ScriptLix is not responsible for the content, accuracy, or practices of any third-party websites and does not endorse them. Your use of third-party websites is at your own risk.
Intellectual Property
All screenplays available on ScriptLix are protected by copyright law and other applicable intellectual property statutes. The purchase of a screenplay under any license tier does not constitute a transfer of copyright ownership unless explicitly stated in the case of an Exclusive Rights purchase.
You acknowledge that purchasing a license grants you only the specific usage rights associated with that license tier. No additional rights are implied or granted. You may not reproduce, redistribute, publicly display, perform, or create derivative works from any screenplay except as expressly permitted by your license tier.
The ScriptLix name, logo, trademarks, and all related visual elements are the exclusive property of ScriptLix. You may not use any ScriptLix branding or intellectual property without prior written consent.
DMCA and Copyright Claims
ScriptLix respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. Section 512. If you believe that content on ScriptLix infringes your copyright, you may submit a DMCA takedown notice to our designated agent at: [email protected] with the subject line "DMCA Takedown Notice."
Your notice must include: (a) identification of the copyrighted work you claim is infringed; (b) identification of the material on ScriptLix that you claim is infringing, with sufficient information for us to locate it; (c) your contact information (name, address, email, phone number); (d) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner; and (f) your physical or electronic signature.
Upon receipt of a valid DMCA notice, ScriptLix will promptly remove or disable access to the allegedly infringing material and notify the content provider. The content provider may submit a counter-notice if they believe the material was removed in error. ScriptLix will restore the material within 10 to 14 business days after receiving a valid counter-notice unless the original complainant files a court action.
ScriptLix reserves the right to terminate accounts of users who are repeat infringers.
Indemnification
You agree to indemnify, defend, and hold harmless ScriptLix, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform or any content accessed through it; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any claim that your use of a purchased screenplay caused damage to a third party; or (e) any dispute between you and a third party regarding a screenplay licensed through ScriptLix.
This indemnification obligation shall survive the termination of your account and these Terms.
Prohibited Conduct
You agree not to share your account credentials with any third party or permit any other person to access ScriptLix through your account. Account sharing undermines the licensing model and constitutes a material breach of these Terms.
You may not attempt to circumvent, disable, or otherwise interfere with any security features, access controls, or payment mechanisms on the platform. This includes but is not limited to bypassing the paywall, manipulating reading progress tracking, or exploiting technical vulnerabilities.
Automated data collection, including scraping, crawling, harvesting, or any other automated means of extracting content or data from ScriptLix, is strictly prohibited without express written permission.
You may not upload, transmit, or distribute any malicious content, including viruses, malware, or any other harmful code. You may not engage in any form of harassment, abuse, intimidation, or threatening behavior toward other users, authors, or ScriptLix staff.
You may not access or use ScriptLix if you are located in a country subject to U.S. economic sanctions or export controls, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions. You represent that you are not listed on any U.S. government list of prohibited or restricted parties.
Violations of these prohibitions may result in immediate account suspension or termination, revocation of purchased licenses, and referral to law enforcement authorities where applicable.
Disclaimers and Limitation of Liability
The ScriptLix platform and all content, features, and services provided through it are offered on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. ScriptLix expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
ScriptLix does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any defects will be corrected or that the results obtained from the use of the platform will be accurate or reliable.
To the maximum extent permitted by applicable law, ScriptLix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the platform.
In no event shall the total aggregate liability of ScriptLix to you for all claims arising out of or related to these Terms or your use of the platform exceed the total amount you have paid to ScriptLix during the twelve (12) months immediately preceding the event giving rise to the claim, or fifty United States Dollars ($50), whichever is greater.
Dispute Resolution and Arbitration
You and ScriptLix agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the platform shall first be attempted to be resolved through informal negotiation. You agree to contact ScriptLix at [email protected] before initiating any formal dispute resolution process. We aim to resolve disputes within fourteen (14) business days.
If informal resolution fails, you and ScriptLix agree to resolve any remaining dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Delaware, United States, or remotely by video conference at the election of either party.
YOU AND SCRIPTLIX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
YOU WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
Force Majeure
ScriptLix shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics or epidemics, war, terrorism, government actions or regulations, power failures, internet or telecommunications failures, cyberattacks, labor disputes, or supplier failures.
In the event of a force majeure, ScriptLix may suspend performance of its obligations for the duration of the event without liability. If the force majeure event continues for more than sixty (60) days, either party may terminate the agreement by written notice.
Termination
ScriptLix reserves the right to terminate or suspend your account and access to the platform at any time, with or without prior notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the platform, or is otherwise objectionable.
Upon termination, your right to access the platform and make new purchases will cease immediately. However, licenses that were validly purchased and fully paid for prior to termination shall remain in effect according to their original terms, except in cases where termination was the result of fraudulent activity or material breach of license terms.
You may voluntarily close your account at any time by contacting ScriptLix support. Account closure does not entitle you to a refund of any prior purchases.
Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Subject to the arbitration provisions above, any legal action or proceeding that is not subject to arbitration shall be brought exclusively in the federal or state courts located in the State of Delaware. You agree to submit to the personal jurisdiction of such courts.
To the extent that mandatory consumer protection laws of your jurisdiction provide greater rights than those set forth in these Terms, such mandatory protections shall apply notwithstanding this choice of law.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
General Provisions
Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of ScriptLix. ScriptLix may freely assign its rights and obligations under these Terms to any successor in interest, whether by merger, acquisition, reorganization, or sale of assets, without notice to you.
Waiver: The failure of ScriptLix to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it in the future. Any waiver must be in writing and signed by ScriptLix to be effective.
Notices: ScriptLix may provide notices to you via email to the address associated with your account, through in-platform notifications, or by posting on the platform. You are responsible for keeping your email address current.
Promotional offers: Promotional codes and discounts are subject to the terms specified at issuance, are non-transferable, and may not be combined unless explicitly stated.
Changes to Terms
ScriptLix reserves the right to modify, amend, or replace these Terms of Service at any time at our sole discretion. When we make material changes, we will notify users through prominent notice on the platform, email notification to the address associated with your account, or other reasonable means.
The revised Terms will become effective on the date specified in the notice or, if no date is specified, upon posting to the platform. Your continued use of ScriptLix after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue your use of the platform.
